These Terms of Service (“Terms”) govern your access to and use of TWELL, a startup ecosystem platform accessible at tinkerwell.com. By accessing or using the platform, you agree to be bound by these Terms.

1. Platform Description

TWELL is a startup ecosystem directory and tools platform. It provides a searchable directory of startups, investors, grants, and ecosystem programmes in Malaysia and Singapore, along with tools for founders and builders.

2. Account and Access

You may browse the public directory without creating an account. Certain features — such as claiming a profile, saving items, or accessing dashboard tools — require you to sign in with a valid email address via magic link authentication.

You are responsible for maintaining the security of your email account and for all activity that occurs under your TWELL account.

3. Service Tiers

• Free tier— full directory access, profile claiming, and basic ecosystem tools at no cost.
• Paid tiers (Founder, Builder, Venture, Investor) — premium features including advanced analytics, priority support, and additional tools. Pricing details are available at /upgrade.

We reserve the right to modify pricing or feature availability with reasonable notice to subscribers.

4. User-Generated Content

When you claim a profile or submit content to the platform, you retain ownership of the content you provide. By submitting content, you grant TWELL a worldwide, non-exclusive, royalty-free licence to display, reproduce, and distribute that content on the platform for the purpose of operating the service.

You represent that you have the right to submit any content you provide and that it does not infringe on the intellectual property or other rights of any third party.

5. Data Accuracy Disclaimer

The TWELL directory contains data sourced from public records including MYStartup.gov.my, the Companies Commission of Malaysia (SSM), and HRD Corp. While we take reasonable steps to maintain accuracy, this data may contain errors, omissions, or outdated information.

TWELL does not guarantee the accuracy, completeness, or timeliness of any directory listing. If you believe a listing contains inaccurate information, you may claim the profile to correct it or contact us to request a correction.

6. No Financial or Legal Advice

Nothing on the TWELL platform constitutes financial, legal, tax, or investment advice. Information about grants, investors, or government programmes is provided for informational purposes only. You should seek independent professional advice before making any business, financial, or legal decisions.

7. Intellectual Property

The TWELL name, logo, branding, and platform design are the intellectual property of TWELL and its operators. You may not use our branding or trademarks without prior written permission.

The platform software, design, and original content are protected by copyright. You may not copy, modify, distribute, or reverse-engineer any part of the platform.

8. Prohibited Conduct

You agree not to:

• Use the platform for any unlawful purpose or in violation of these Terms.
• Scrape, crawl, or extract data from the platform in bulk without prior written permission.
• Submit false, misleading, or fraudulent information when claiming profiles or creating content.
• Interfere with the platform’s operation or security, or attempt to gain unauthorised access to any system or data.
• Impersonate another person or organisation when claiming a profile.

9. Account Termination

You may close your account at any time by contacting us. We reserve the right to suspend or terminate your account if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or are using the platform in a way that could harm other users or the platform itself.

Upon termination, your right to access paid features will cease immediately. Directory listings sourced from public records may remain on the platform independently of your account.

10. Limitation of Liability

To the maximum extent permitted by law, TWELL and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the platform, including but not limited to loss of profits, data, business opportunities, or goodwill.

Our total liability for any claim arising from or relating to these Terms or the platform shall not exceed the amount you have paid us in the twelve (12) months preceding the claim, or RM 100, whichever is greater.

11. Disclaimer of Warranties

The platform is provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that the platform will be uninterrupted, secure, or error-free, or that any defects will be corrected.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of Malaysia. Any disputes arising from or relating to these Terms or your use of the platform shall be subject to the exclusive jurisdiction of the courts of Malaysia.

13. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via the platform or by email to registered users. Your continued use of the platform after any changes constitutes acceptance of the updated Terms.
